Terms of Service

Last updated May 12, 2026. This document applies to IronTreasury's current beta product, which is upload-driven, advisory only, and does not automatically move funds by default.

1. Beta and Early Access

IronTreasury is currently offered as beta software. Features may change, be incomplete, or be removed without notice. The service is provided on an as-is and as-available basis during this early access period.

You understand that the product may contain errors, gaps in coverage, temporary interruptions, evolving data models, changing interfaces, and workflow changes while we improve it. Temporary outages, inconsistencies, or changes to outputs may occur as the service evolves.

2. No Financial, Legal, Tax, or Investment Advice

IronTreasury provides informational and advisory software only. We are not acting as your CPA, accountant, bookkeeper, lawyer, investment adviser, broker, lender, fiduciary, bank, money transmitter, tax preparer, or regulated financial institution.

You remain solely responsible for reviewing recommendations, making operating decisions, approving payments, filing taxes, maintaining records, and complying with legal, accounting, payroll, financing, and regulatory obligations.

3. No Guaranteed Accuracy

Forecasts, projections, classifications, recommendations, simulations, and risk assessments may be incomplete or inaccurate. Outputs depend heavily on the quality, completeness, timing, and correctness of the data you upload or otherwise provide.

We do not guarantee that any forecast, projection, recommendation, or classification is correct, complete, or appropriate for your business.

4. No Warranty / As-Is Service

To the maximum extent permitted by law, IronTreasury is provided without warranties of any kind, whether express, implied, or statutory. We do not warrant that the service will be uninterrupted, error-free, secure, available at all times, accurate, complete, fit for a particular purpose, merchantable, or suitable for any specific financial, tax, accounting, or operational use case.

5. No Reliance

You should not rely solely on IronTreasury outputs for mission-critical or time-sensitive decisions. Important payroll, tax, vendor, financing, accounting, investment, treasury, and compliance decisions require independent review, underlying records, and human judgment.

6. No Automatic Money Movement

IronTreasury does not automatically move funds, initiate payments, sweep accounts, or execute transactions unless a specific feature clearly states otherwise. In the current beta product, recommendations are advisory and manual-upload driven by default.

7. User Responsibility

  • Review all recommendations, forecasts, and exceptions before acting.
  • Maintain accurate books, records, and source data.
  • Confirm taxes, payroll, vendor payments, and compliance obligations independently.
  • Use appropriate human judgment before approving any cash or treasury action.

8. Financial Risk Disclaimer

You understand that financial and operational losses can result from incomplete records, inaccurate uploads, changing cash timing, or business decisions made using the service. IronTreasury is not responsible for losses or disputes arising from your decisions, including missed payroll, vendor disputes, overdrafts, financing decisions, investment decisions, tax penalties, cash flow shortfalls, or accounting errors resulting from your actions or reliance on your own data.

9. Data Import Disclaimer

Imported and uploaded files may contain inaccuracies, omissions, duplication, formatting problems, stale information, or conflicting records. Categorization, counterparty matching, schedule inference, and classification may be imperfect. Duplicate, missing, or malformed data can materially affect forecasts, recommendations, and downstream outputs.

10. Third-Party Services

We rely on third-party providers for hosting, storage, cloud infrastructure, monitoring, logging, analytics, email delivery, authentication, and related operations. If future integrations such as Plaid, Stripe, or other third-party services are enabled, those services will also be subject to their own terms, uptime, and operational limits.

We are not responsible for outages, disruptions, delays, degraded performance, or failures caused by third-party providers or network dependencies outside our reasonable control.

11. Security and Availability

We use reasonable safeguards intended to protect the service and customer data, but no system is perfectly secure or continuously available. You are responsible for safeguarding credentials, limiting account access appropriately, and maintaining your own copies, backups, or exports of important information.

12. Limitation of Liability

To the maximum extent permitted by law, IronTreasury and its affiliates, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business opportunity, lost goodwill, lost data, business interruption, procurement of substitute services, penalties, fines, or similar losses.

Our total aggregate liability for any claim related to the service will not exceed the amount you paid to IronTreasury for the service in the 12 months before the event giving rise to the claim. If you have not paid any fees, our aggregate liability will be limited to one hundred U.S. dollars (US$100), to the extent permitted by law.

13. Indemnification

You agree to indemnify and hold IronTreasury harmless from claims, losses, liabilities, damages, and expenses arising out of your misuse of the service, illegal activity, fraudulent uploads, infringement, or violation of these terms.

14. Acceptable Use

  • Do not use the service for illegal, fraudulent, deceptive, or unauthorized activity.
  • Do not upload data you do not have the right to use.
  • Do not attempt to bypass access controls, abuse credentials, or interfere with service availability.
  • Do not reverse engineer or extract proprietary logic except where applicable law clearly permits it.
  • Do not use the service in violation of export controls, sanctions, or other applicable compliance restrictions.

15. Accounts and Termination

You are responsible for maintaining the confidentiality of your account credentials. We may suspend or terminate accounts that are abusive, risky, unlawful, or inconsistent with this beta program. Beta access, feature availability, and pricing may change at any time.

16. Intellectual Property and Feedback

The software, interface, workflows, documentation, branding, and underlying logic of IronTreasury are owned by IronTreasury or its licensors and are protected by applicable intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to use the service for your internal business purposes in accordance with these terms.

If you provide suggestions, feedback, or product ideas, you agree that we may use them without restriction and without compensation to you.

17. No Fiduciary or Advisory Relationship

Your use of the service does not create any fiduciary, agency, partnership, joint venture, advisory, brokerage, custody, banking, or other special relationship between you and IronTreasury.

18. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute arising from or related to the service will be resolved by binding arbitration on an individual basis in the United States, unless applicable law prohibits that requirement. You and IronTreasury each waive any right to participate in a class action, class arbitration, or representative proceeding, except where that waiver is prohibited by law.

Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction when necessary to protect intellectual property, confidential information, or security. If arbitration is not enforceable in a particular matter, the parties consent to exclusive venue in state or federal courts located in Delaware, subject to applicable law.

19. Electronic Consent, Notices, and Language

Your electronic acceptance of these terms, including by checkbox, click-through, or similar assent flow, is legally binding to the extent permitted by law. You agree that electronic notices, records, and communications satisfy any legal requirement that such communications be in writing.

These terms are written in English, and the English-language version controls. If any part of these terms is found unenforceable, the remaining portions will remain in effect to the maximum extent permitted by law.

20. Force Majeure

IronTreasury will not be responsible for delays or failures caused by events outside our reasonable control, including internet or infrastructure failures, cloud outages, cyberattacks, natural disasters, government actions, labor disruptions, utility failures, or similar force majeure events.
